PSA Campus Bylaws

Article I: Name

Section 1.
The name of this organization shall be the Paradise Valley Community College Professional Staff Association hereinafter referred to as the Unit Association.

Article II: Affiliation

Section 1.
This Association is a unit of the Maricopa Community College District Professional Staff Association, hereinafter referred to as the District Association.

Section 2.
This Association will comply with all rules and regulations set forth by the Constitution of the District Association.

Article III: Purpose

Section 1.
The purpose of this Unit Association shall be to act as a voice for the Professional Staff personnel of Paradise Valley Community College within the District Association in establishing and enforcing our policy manual.

Section 2.
It shall further be the purpose of this Unit Association to be an information gathering and distributing body.

Section 3.
It shall further be the purpose of this Unit Association to promote efficiency and raise the standards of service of Paradise Valley Community College Professional Staff personnel, establish cooperation with District and College officials and the campus community.

Article IV: Members

Section 1.
Eligibility: Any regular employee who is governing board approved and whose work week is from 20 to 40 hours inclusive in length, and whose job is identified under listed classifications in the M.C.C.D. classification system, and whose salary is funded 50% or more from internal funds is considered Professional Staff personnel, and, as such is entitled to membership in the Unit Association.

Section 2.
Definitions.

  1. Associate Membership - shall be open to all eligible Professional Staff personnel. All Associate Members shall pay dues at the Unit level and shall be privy to all advantages offered to dues paying members. All voting PVCC Executive Board members shall be Associate Members for at least one (1) year prior to holding an Executive office.
     
  2. Non-Associate Membership - shall be open to all qualified Professional Staff Personnel. Non-Associate members shall constitute those persons who elect not to support the Association by paying dues at the Unit level. Non-Associate members shall not vote at the District or Unit level. They shall not be privy to any advantages offered dues-paying members other than those general applicable conditions of employment as acquired through the Meet and Confer sessions with the Human Resources Department of the District. Said members shall have a vote on the ratification of any proposals resulting from the Meet and Confer sessions which are brought to the floor at the District or Unit level of this Association.

Section 3.
Dues shall be set annually at the April meeting by the Association and shall be collected from September 1 through December 31. Dues shall be paid to the Treasurer in cash or check made payable to the PVCC Professional Staff Association or through payroll deduction and shall be for said fiscal year July 1 - June 30.

Section 4.
Associate Members paying District dues may request financial assistance for legal counsel from the District Executive Board for job related problems and for grievances. The amount of assistance will be determined by the District Executive Board.

Section 5.
All elected or appointed officers of the Unit Association must be employees of Paradise Valley Community College for a period of one (1) year prior to holding office within this Association and must be dues-paying members of the Unit and District Association.

Article V: Organization

Section 1.
The Executive Board of this Association shall be President, Vice President, Secretary, Treasurer, Representatives, and Alternate Representatives. The President and Vice President together with the Representatives will represent this Association at the District Association meetings. These Representatives shall perform the duties prescribed by these Bylaws and by the parliamentary authority adopted by this Association. All officers are eligible to succeed themselves unless the office has been forfeited due to failure to fulfill the duties of the office.

Section 2.
Election of Officers shall be held annually before April 30. This Association shall provide the President of the District Association with a list of elected officers before May 31. This Association shall elect one officer or representative for every fifteen (15) regular Professional Staff employees and portion of fifteen (15) thereafter employed at Paradise Valley Community College. All officers (four) MAY represent part of the seven (7) elected PVCC Representative votes. If this Association is entitled to an increase in the number of Representatives due to an increase in Professional Staff, an elected Alternate Representative shall be appointed by the President of this Association to fill the Representative position. A new Alternate Representative will also be elected.

Section 3.
If the President-Elect, Secretary, or Treasurer is unable to complete the term of office, the vacancy shall be filled by an election from among the Associate Members at the next Association meeting.

Section 4.
If a Representative or Alternate is unable to complete the term of office, the vacancy shall be filled by an Alternate and, if necessary, a new Alternate shall be elected by the Association at the next association meeting to fill the term.

Section 5.
If the President is unable to complete the term of office, the President-Elect shall assume the office of President.

Section 6.
At the regular March meeting an Election Committee of at least two (2) members shall be selected by the Association. The Past-President shall chair the Election Committee.

Article VI: Duties of Officers

Section 1.
President: The President is elected for a one-year term and shall preside at all meetings of the Executive Board and meetings of the membership and shall perform all duties as are usually performed by the President of any organization. The President may act as an ex-officio member of all committees of this Association and may act as mediator for PSA in grievances and resolution of conflicts.

Section 2.
Vice President: The Vice President is elected for a one-year term and shall be President the following year. S/He shall discharge the duties of the President in the absence of the President or in the event the President is unable to act. The Vice President shall assume the duties of the President in the event the President should resign, vacate, or abandon his/her position, and shall hold the office until the end of the term. The duties of the Vice President may include overseeing the activities of the Unit or Ad Hoc committees and shall report to the President.

Section 3.
Secretary: The Secretary is elected for a one-year term and shall keep an accurate record of the proceedings of all meetings of the Association and the Executive Board, and such other records and maintain the guidelines and procedures relating to the Bylaws as the Association shall require. The Secretary shall maintain files of all correspondence of the Association and shall issue notices to the membership of all meetings of the Association at least two (2) days prior to such meetings. Minutes of the meetings shall be distributed to all members by electronic or paper mail within ten (10) days after the meeting and shall report to the President.

Section 4.
Treasurer: The Treasurer is elected for a one-year term and shall be custodian of the funds of the Association and shall be responsible for opening, recording and maintaining permanent records and accounts of all money. The Treasurer shall be responsible for maintaining a list of all dues-paying members and shall report to the President.

Section 5.
Representatives: The Representatives are elected for two-year terms and shall attend all District Association meetings for the purpose of representing the campus membership. They shall be responsible for gathering information from PVCC PSA employees and relaying information from the District Association to PVCC employees, may act as chair for Unit committees and shall report to the President.

Section 6.
Alternate Representatives: Alternate Representatives are elected for two-year terms and shall attend District and Unit Association meetings in the absence of Representatives. The Alternate Representative assumes the duties of the Representative and shall report to the President.

Article VII: Meetings

Section 1.
Regular meetings shall be held monthly on the fourth Tuesday of each month, September through May, unless another time shall be agreed upon by the assembled Association due to a conflict in work schedules or other valid conditions. The Executive Board may, from time to time, by a majority vote, suspend a regular meeting. The place and time of regular meetings shall be determined by the Executive Board.

Section 2.
The regular meeting in April shall be known as the Annual Meeting and shall be for the purpose of electing and/or announcing officers, receiving annual reports of officers and committees, and for any other business that may arise.

Section 3.
The May meeting shall be the installation of officers, recognition and awards of employees.

Section 4.
Any representative missing three (3) Unit or District meetings shall be replaced by an Alternate Representative on a permanent basis.

Section 5.
Any President or Vice President missing three (3) Unit or District meetings shall be permanently replaced by an election.

Section 6.
A quorum shall be necessary to conduct official business and shall be determined by the Vice President. A quorum shall be constituted to be at least two members of the Executive Board, plus a simple majority of dues-paying members. If a quorum does not exist at a meeting, issues requiring a vote shall be handled by paper/A1 mail coordinated by the Executive Board.

Article VIII: Executive Members

Section 1.
The Executive Officers of this Association shall be the President, Vice President, Secretary, Treasurer and Representatives.

Section 2.
The Executive Board, which as defined in Article V, Section I, shall have general supervision of the affairs of the Association and Unit Committees between meetings.

Article IX: Authority

Section 1.
Roberts Rules of Order (Revised) shall be the parliamentary authority for all matters of procedure not specifically covered by the Bylaws or any other special rules or procedures adopted by the Board.

Article X: Unit Committees

Section 1.
Publicity, Promotion, Membership Committee: The responsibilities of this committee shall be to promote membership in the Association by organizing publicity, materials, contact members and give new employees of PSA information about PSA and shall report to the Unit President.

Section 2.
Workshops and Training Committee: The responsibilities of this committee shall be to promote PVCC employee development by organizing group seminars, workshops and other activities. The chairperson of the committee shall be responsible for reporting activities of the committee to the Association at its regularly scheduled meetings and shall report to the Unit President.

Section 3.
Election Committee: An Election Committee shall be formed at the regular meeting in March. This committee is chaired by the immediate Past-President. Committee members shall be Associate Members of the Professional Staff Association. The purpose of this committee shall be to encourage eligible members to accept nomination for elected positions. This committee is also responsible for distributing, collecting and counting the election ballots and shall report to the Unit President.

Section 4.
Ad Hoc Committees: The President of the Association may form Ad Hoc Committees to perform specific duties as the Association may require. The membership of said committees may be appointed by the President or s/he may open them to willing members of the Association. Chairpersons and timelines for such committees shall be appointed by the President of the Association.

Article XI: Amendment

Section 1.
The Bylaws of this Association may be revised, amended or repealed at any meeting of the Association by two-thirds vote of Associate Members and ten (10) days' notice.

Article XII: Abandonment or Termination

Section 1.
In the event of abandonment or termination of this Association, any funds shall be directly donated to the District Association. No part of said funds shall be used or distributed to members of the Board at any time.
